Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and AgeeBgee Solutions, LLC d/b/a Dad is Dead ("Dad is Dead," "we," "us," or "our") governing your access to and use of the website at https://dad-is-dead.com and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing the Service, you represent that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this Service. The materials contained on this website are protected by applicable copyright and trademark law.

2. Eligibility

The Service is intended solely for persons who are 18 years of age or older. By creating an account or accessing the Service, you represent and warrant that you are at least 18 years of age and have the full legal capacity to enter into a binding agreement. We do not knowingly collect personal information from persons under 18. If we discover that a user is under 18, we will terminate the account and delete all associated data promptly. Persons under 18 are strictly prohibited from registering as users or as designated Custodians. If you believe we have inadvertently collected information from a person under 18, please contact us immediately at [email protected].

3. Not Legal Advice

The Service is a digital data storage and access-designation tool. Nothing in the Service — including any templates, prompts, guidance, or vault content — constitutes legal, financial, tax, or estate planning advice. Dad is Dead does not practice law and is not a law firm. You should consult a licensed estate planning attorney in your jurisdiction regarding your complete estate plan, including whether a Custodian designation in this Service satisfies your estate planning goals.

4. Use License

Permission is granted to access and use the Service for your personal, non-commercial estate planning purposes only. Under this license you may not:

  • modify, copy, or create derivative works from the Service or its materials;
  • use the Service for any commercial purpose or public display;
  • attempt to decompile, reverse engineer, or extract source code from any software comprising the Service;
  • remove any copyright or proprietary notices from Service materials; or
  • transfer your account or access rights to another person.

This license terminates automatically if you violate any of these restrictions or these Terms, and may be terminated by Dad is Dead at any time. Upon termination, you must cease all use of the Service.

5. Subscription and Billing

Dad is Dead offers paid subscription plans billed on a recurring basis. Before subscribing, we will clearly disclose the subscription price, billing frequency, and renewal terms. By subscribing, you authorize Dad is Dead to charge your payment method automatically at the start of each billing period until you cancel.

Auto-Renewal. Subscriptions automatically renew at the end of each billing period at the then-current subscription rate. We will notify you of any material change to your subscription price or terms at least 7 days before the change takes effect.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access to the Service through that date.

Refunds. Dad is Dead does not provide refunds for partial billing periods. Exceptions: (a) if the Service is materially unavailable due to a platform outage attributable solely to us for more than 72 consecutive hours in any billing period, you may request a pro-rated credit; (b) refunds required by applicable law, including Florida Statutes §501.165, will be honored. To request a refund under an applicable exception, contact [email protected] within 30 days of the charge.

6. Custodian Designation and Post-Death Data Release

Custodian Designation. As part of the Service, you may designate one or more individuals ("Custodians") to receive access to your account vault contents upon verification of your death. This designation constitutes an express online direction within the meaning of Florida's Revised Uniform Fiduciary Access to Digital Assets Act, Fla. Stat. §740.001 et seq. ("RUFADAA"), and is intended to be given the highest tier of legal authority under that Act. You may update or revoke Custodian designations at any time through your account settings. The most recently saved designation on file at the time of death verification controls.

Death Verification. To initiate Custodian access, a designated Custodian must submit a written request to Dad is Dead accompanied by: (a) a certified copy of your death certificate, and (b) government-issued photo identification of the requesting Custodian. Dad is Dead reserves the right to request additional documentation at its discretion. We will process verified requests within 30 business days of receiving complete documentation.

Good Faith Release. Dad is Dead shall not be liable for releasing vault contents to a Custodian who presents documentation that reasonably appears authentic upon facial review. We are not obligated to independently investigate or verify the accuracy of submitted documentation. If multiple parties claim entitlement to your digital assets, we may, at our sole discretion, interplead the matter or require a court order before releasing vault contents.

Custodian Access Period. Custodian access is granted for a period of 90 days following death verification, after which vault data will be scheduled for deletion unless otherwise required by applicable law. No further subscription charges will be assessed following death verification.

No Substitute for Estate Planning. A Custodian designation within the Service does not constitute or replace a will, trust, power of attorney, or other estate planning instrument. We strongly recommend consulting a licensed estate planning attorney in your jurisdiction.

7. Account Termination

Termination by You. You may terminate your account at any time through your account settings. Upon termination, your subscription will not renew, and your account will remain accessible through the end of the current billing period. After the billing period ends, your vault data will be retained for 30 days and then permanently deleted.

Termination by Us. We may suspend or terminate your account for: (a) failure to pay subscription fees for more than 10 business days after the due date; (b) material violation of these Terms; or (c) fraudulent or illegal use of the Service. We will provide 14 days' written notice to your registered email address before terminating for non-payment. Termination for fraudulent or illegal activity may be immediate without prior notice.

Pre-Death Termination Risk. You acknowledge that if your account is terminated prior to your death and not reinstated, your designated Custodians will not receive access to your vault at the time of your death. It is your sole responsibility to maintain an active subscription or make alternative arrangements for your estate planning documents.

Data Following Termination. We will retain vault data for 30 days following account termination to permit you to download or transfer your data. After this retention period, vault data will be permanently and irrecoverably deleted. We are not responsible for vault contents lost following expiration of this retention period.

8. SMS Communications and Consent

By providing your mobile phone number and enabling proof-of-life check-in alerts or other SMS notifications, you expressly consent in writing to receive automated recurring text messages from Dad is Dead (AgeeBgee Solutions, LLC) at the mobile number you provide, including messages sent using automated telephone dialing technology. Such messages may include account alerts, proof-of-life check-in reminders, and custodian notification status updates.

Message frequency varies based on your configured check-in schedule. Standard message and data rates may apply. You may opt out at any time by replying STOP to any message or by disabling SMS notifications in your account settings. Reply HELP for assistance. Consent to receive SMS is not a condition of purchase or subscription.

9. Disclaimer

The Service is provided on an 'as is' and 'as available' basis. Dad is Dead makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Dad is Dead does not warrant that the Service will be uninterrupted, error-free, or completely secure.

Acknowledgment of Irreplaceability. You acknowledge that vault contents may be irreplaceable and that Dad is Dead does not guarantee recovery of lost or corrupted vault data. We strongly recommend maintaining independent physical copies of all critical estate planning documents.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall AgeeBgee Solutions, LLC (d/b/a Dad is Dead), its officers, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of data, loss of vault contents, loss of profits, or damages arising from the inability of a designated Custodian to access vault contents following a user's death, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of: (a) the total fees paid by you to Dad is Dead in the twelve (12) months immediately preceding the claim, or (b) one hundred dollars ($100.00). These limitations apply regardless of the legal theory under which damages are sought. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Accuracy of Materials

Materials on the Service could include technical, typographical, or other errors. Dad is Dead does not warrant that any materials are accurate, complete, or current, and reserves the right to make changes at any time without notice.

12. Dispute Resolution; Arbitration; Class Action Waiver

Informal Resolution. Before initiating any formal proceeding, you agree to contact us at [email protected] with written notice describing your dispute. We will attempt to resolve the dispute informally within 30 days of receiving written notice.

Binding Arbitration. Except for disputes that qualify for small claims court, and except for claims seeking injunctive or equitable relief related to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at www.adr.org. The arbitration shall be conducted remotely or in Pinellas County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND DAD IS DEAD EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity only. If this class action waiver is found unenforceable, the arbitration clause shall be null and void in its entirety, and the dispute shall be resolved in the courts identified in Section 13.

Governing Arbitration Law. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §1 et seq., and, to the extent not preempted, by Florida law.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. For any disputes not subject to arbitration under Section 12, you irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida.

Dad is Dead has not reviewed all sites linked from the Service and is not responsible for the content of any linked site. The inclusion of any link does not imply endorsement. Use of any linked website is at your own risk.

15. Modifications

Dad is Dead may revise these Terms at any time. We will provide notice of material changes to your registered email address at least 7 days before the changes take effect. By continuing to use the Service after revisions take effect, you agree to the updated Terms.
